Service pricing is not fixed and may vary based on negotiations with each client.
All services require a signed contract before work begins.
Each engagement has a minimum commitment of three (3) months, unless otherwise agreed to in writing.
2. Client Responsibilities
By engaging with us, you agree to:
Provide accurate business information, including any required contact and website performance data.
Supply assets (such as text, images, or branding materials) in a timely manner.
Ensure you have the rights to use any materials you provide.
Review and approve deliverables promptly to keep projects on schedule.
3. Payment
Payment terms and rates are specified in the signed contract for each engagement.
Invoices are issued electronically and are due within 14 days of the invoice date, unless otherwise agreed in writing.
We reserve the right to charge interest on overdue payments.
4. Intellectual Property
Clients retain ownership of all text, images, and data they provide.
Upon full payment, clients own the design and creative work delivered by The Modern Shopper for the specific project.
The Modern Shopper retains ownership of any pre-existing intellectual property and reserves the right to reuse non-client-specific tools, methods, or assets developed during projects.
5. Showcasing Work
We reserve the right to display our work publicly, including but not limited to:
Design samples
Case studies highlighting improvements in key performance indicators (e.g., conversion rate, opt-in rate, revenue growth, average order value, cart abandonment, bounce rate)
Portfolio features, articles, and publications
We take care to present case study information in a way that protects sensitive business details.
6. Confidentiality
We maintain the confidentiality of client information, including business data such as traffic, revenue, and conversion performance. We will not share or sell your data to third parties.
7. Limitations of Liability
While we strive to provide high-quality services, we cannot guarantee error-free work or specific business outcomes.
We are not liable for lost profits, lost savings, or indirect, incidental, or consequential damages.
Client liability is limited to the fees payable under their signed contract.
8. Termination
Clients may terminate services early by paying in full for all work completed up to the termination date.
Contracts may not be transferred to another party without written consent from both sides.
9. Governing Law
